Welcome to Oyu Intelligence LLC. These Terms of Service ('Terms') govern your access to and use of our website, services, and products. These Terms constitute a legally binding agreement between you and Oyu Intelligence LLC.
Please read these Terms carefully. By accessing or using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.
By accessing and using the services provided by Oyu Intelligence LLC ('Company', 'we', 'us', or 'our'), you accept and agree to be bound by these Terms of Service. If you do not agree to these terms, you must not access or use our services.
We reserve the right to modify these Terms of Service at any time. We will notify you of any material changes by posting the updated terms on our website and updating the 'Last Updated' date. Your continued use of our services after such modifications constitutes your acceptance of the updated terms.
You must be at least 18 years old and have the legal capacity to enter into binding contracts to use our services. By using our services, you represent and warrant that you meet these eligibility requirements.
Oyu Intelligence LLC provides AI automation, mobile app development, website design and development, social media development, and related digital services. The specific scope, deliverables, timeline, and pricing for each project will be outlined in separate service agreements or statements of work.
You agree to: (a) provide accurate and complete information when requested; (b) maintain the confidentiality of any account credentials; (c) use our services only for lawful purposes; (d) not interfere with or disrupt our services or servers; (e) not attempt to gain unauthorized access to any part of our services; and (f) comply with all applicable laws and regulations.
You may not use our services to: engage in illegal activities; infringe on intellectual property rights; transmit harmful code or malware; harass or harm others; impersonate any person or entity; collect user information without consent; or engage in any activity that could damage our reputation or business interests.
All content, features, and functionality of our services, including but not limited to text, graphics, logos, images, software, and code, are owned by Oyu Intelligence LLC or our licensors and are protected by international copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.
You retain all rights to any content, materials, or information you provide to us ('Client Materials'). By providing Client Materials, you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and display such materials solely for the purpose of providing our services to you.
Upon full payment for services rendered, you will own the final deliverables created specifically for you as outlined in the applicable service agreement. However, we retain ownership of any pre-existing materials, templates, tools, methodologies, and general knowledge used in creating the deliverables. We also reserve the right to showcase completed work in our portfolio unless otherwise agreed in writing.
We strive to provide high-quality services but make no warranties or representations about the accuracy, reliability, or completeness of our services. Our services are provided 'as is' and 'as available' without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
To the maximum extent permitted by law, Oyu Intelligence LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from: (a) your use or inability to use our services; (b) any unauthorized access to or use of our servers; (c) any interruption or cessation of services; or (d) any errors or omissions in any content.
Our total liability to you for any claims arising from or related to our services shall not exceed the amount you paid us for services in the twelve (12) months preceding the claim. This limitation applies regardless of the legal theory on which the claim is based.
Payment terms, including pricing, payment schedules, and accepted payment methods, will be specified in individual service agreements or invoices. Unless otherwise agreed, payment is due within the timeframe specified in the invoice. Late payments may be subject to interest charges and may result in suspension of services.
Due to the custom nature of our services, refunds are generally not available once work has commenced. However, we are committed to client satisfaction and will work with you to address any concerns. Specific refund terms, if applicable, will be outlined in your service agreement.
Changes to project scope, requirements, or deliverables after work has begun may result in additional costs and timeline adjustments. We will provide written estimates for any additional work before proceeding. You agree to pay for any approved additional services.
These Terms of Service shall be governed by and construed in accordance with the laws of Mongolia, without regard to its conflict of law provisions. Any legal action or proceeding arising under these terms shall be brought exclusively in the courts located in Ulaanbaatar, Mongolia.
In the event of any dispute, controversy, or claim arising out of or relating to these terms or our services, the parties agree to first attempt to resolve the matter through good faith negotiations. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may pursue other legal remedies.
For disputes that cannot be resolved through negotiation, the parties may agree to submit the dispute to binding arbitration in accordance with the rules of a mutually agreed arbitration body. The arbitration shall take place in Ulaanbaatar, Mongolia, and shall be conducted in English or Mongolian as agreed by the parties.
We reserve the right to terminate or suspend your access to our services immediately, without prior notice or liability, for any reason, including but not limited to breach of these Terms. Upon termination, your right to use our services will immediately cease.
Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of our business relationship. This obligation survives the termination of any service agreement.
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.
These Terms, together with any service agreements and our Privacy Policy, constitute the entire agreement between you and Oyu Intelligence LLC regarding our services and supersede all prior agreements and understandings.
